Direct Investment, National Champions and EU Treaty Freedoms
From Maastricht to Lisbon
Frank S Benyon
Within the EU, the legal dimension of trade in goods and, more recently, of trade in services have gained clear contours. This is less true for cross-border direct investments. Within the system of the fundamental freedoms, cross-border direct investments may fall within the scope of the freedom of establishment (Art 49 TFEU, 43EC), the free movement of capital (Art 63 TFEU, 56EC) and sometimes the freedom to provide services (Art 56 TFEU, 49EC). The free movement of capital has been the last fundamental freedom to be endowed with direct effect. The investment potential of Sovereign Wealth Funds makes this a very topical subject. The ECJ has started to develop the full potential of the free movement of capital and the freedom of establis...

Intermediated Securities
Legal Problems and Practical Issues
Edited by Louise Gullifer and Jennifer Payne
Globally, there has been a shift from securities being held directly by an investor, to a situation in which many securities are held via an intermediary. The existence of one or more intermediaries between the investor and the issuer has a potentially significant impact on the rights of the investor, the role and obligations of the issuer, and on the position and responsibilities of the intermediary. However, different jurisdictions have dealt with the issues arising from intermediation in a variety of ways. In the UK, for example, the concept of a trust is used to explain the different rights and obligations which arise in this scenario, whereas in the US the issues have been addressed by legislation, in the form of UCC Article 8. ...

Introduction - The New Lex Mercatoria and its Sources
Jan Dalhuisen
VOLUME 1 This is the fourth edition of the leading work on transnational and comparative commercial and financial law, covering a wide range of complex topics in the modern law of international commerce, finance and trade. As a guide for students and practitioners it has proven to be unrivalled. In a significant departure from earlier editions, the work is now divided into three volumes, each of which can be used independently or as part of the complete work. Volume one covers the introductory material - the historical roots and foundations of private law, the concept and forces of its transnationalisation in the professional sphere, the autonomous sources of the new law merchant or modern lex mercatoria and its largely finance...

International Sales Terms
Professor Dr Patrick Ostendorf
This is a short practical guide to international sales terms, providing a handy guide for drafting typical sales agreement clauses. The introductory chapter provides a short introduction to the Convention on the International Sale of Goods and Swiss law with regard to legal issues not dealt with by the CISG (i.e. assignment, set-off, limitation periods, validity of the contract etc.) as well as differences in this regard compared to other major jurisdictions (in particular England and the U.S.). The introductory part also deals with more general points of concern with regard to international sales contracts (eg. US. and European export control regulations, international tax law issues etc.) and best practices regarding the incorporation of ...

The Future of Financial Regulation
Edited by Iain G MacNeil and Justin O'Brien
The Future of Financial Regulation is an edited collection of papers presented at a major conference at the University of Glasgow in spring 2009, co-sponsored by the Economic and Social Research Council World Economy and Finance Programme and the the Australian Research Council Governance Research Network. It draws together a variety of different perspectives on the international financial crisis which began in August 2007 and later turned into a more widespread economic crisis following the collapse of Lehman Brothers in the autumn of 2008. Spring 2009 was in many respects the nadir since valuations in financial markets had reached their low point and crisis management rather than regulatory reform was the main focus of attention. The con...

Chinese Business Law
Edited by Yuanshi Bu
Thanks to China's place in the world economic system, Chinese law sparks great interest among foreign readers. For practitioners, it is important to keep track of new legal developments which give rise to practical questions, and for business activities to comply with the latest regulatory enactments in China. For academics, the emergence of the Chinese legal system as a rapidly maturing hybrid legal regime, built by adopting models and experiences from other nations, among them the United States and various European countries. presents fascinating possibilities for research and analysis. This handbook of modern Chinese business law provides, in a single volume, an overview of the legal environment in which businesses must currently operate...

The Law and Practice of Documentary Letters of Credit
Peter Ellinger and Dora Neo
Letters of credit have retained their role as an instrumentality for the financing of foreign trade. An understanding of the law and practice in point is imperative for lawyers advising business people and bank clients, as well as for the banking and trading communities. The book examines the topic on the basis of the common law system, primarily UK law, and adopts an approach that is analytical and not merely descriptive. Letter of credit transactions are, by their nature, international and most nations have adopted the Uniform Customs and Practices ("UCP") originally promulgated by the International Chamber of Commerce (ICC) in 1933 and updated from time to time. Today, the UCP constitutes a code of internationally accepted rules governin...

Consumer Credit, Debt and Bankruptcy
Comparative and International Perspectives
Edited by Johanna Niemi, Iain Ramsay and William C Whitford
After a long period of prosperity and steady economic growth, the world's leading economies are now in crisis, and although there will be debate about its origins, the scale and seriousness of the crisis is in no doubt. There is also no doubt that excessive amounts of consumer credit, allied to a weak understanding of how globalised credit markets might react to a crisis, have played a significant part. This book, which is primarily about credit, debt and the trouble they have led to, is written by authors who have specialised in researching into over-indebtedness, that is, situations in which an individual's debt burden has become overwhelming. For these authors the plight of individuals is a primary concern, but the wider issue is how cr...
